Mindfulness on the Mats™

Terms of Service & Purchase Agreement

These Terms of Service ("Terms") are a legally binding agreement between you ("Member," "you," or "your") and Mindfulness on the Mats LLC, a Florida limited liability company ("Company," "we," "us," or "our"), governing your purchase and use of the Mindfulness on the Mats™ curriculum, scripts, guides, and related materials and services (collectively, the "Service"). By scrolling through and checking the acknowledgment box before completing your purchase, you confirm that you have read and agree to be bound by these Terms in their entirety. If you do not agree, do not check the box and do not complete your purchase.

1. Description of the Service

Mindfulness on the Mats LLC provides mindfulness-based curriculum, scripts, instructional guides, and related materials designed for use by martial arts instructors and schools (the "Content"). The Service is offered through subscription-based membership tiers (Section 3) and, separately, through one-time purchases of specific Content ("Protocols," Section 7).

We reserve the right, at our sole discretion, to change or modify these Terms at any time. If we do, we will post the changes on this page and update the date at the top, and/or notify you through the Service, by email, or through other reasonable means, as required by applicable law. Changes become effective no earlier than fourteen (14) days after they are posted, except changes addressing new features of the Service or made for legal reasons, which are effective immediately. Your continued use of the Service after changes take effect constitutes your acceptance of the new Terms.

2. Eligibility

The Service is intended for martial arts instructors, school owners, and other professionals using the Content in an instructional capacity. By purchasing or using the Service, you represent that you are at least 18 years old and capable of entering into a binding agreement. For details about how we collect, use, and protect your personal information, please see our Privacy Policy. By using the Service, you consent to our collection and use of personal data as described there.

3. Membership Tiers and Fees

We offer membership tiers (currently Instructor and Black Belt, with additional tiers such as Master to be introduced in the future), each with a corresponding monthly or annual fee displayed at checkout. Fees are subject to change as described in Section 12. Features described in our marketing materials as "coming soon" (for example, a future Video Library or additional membership tiers) are not guaranteed to launch on any particular timeline and are not part of the Service until made generally available.

4. Payment, Billing, and Auto-Renewal

5. License Grant; No Permanent Ownership

5.1 Subject to your compliance with these Terms and continued payment of applicable fees, we grant you, and the instructors employed or engaged by your identified school location, a limited, non-exclusive, non-transferable, revocable license to access and use the Content for instructional purposes at that single school location during the active term of your membership.

5.2 Your access to the Content is tied to your active membership status. Access is not permanent and purchasing a membership does not transfer ownership of any Content to you. We reserve the right to modify, update, remove, or discontinue any Content at our discretion, including Content licensed to us by third parties on a limited-term basis.

5.3 Upon cancellation, expiration, or termination of your membership for any reason, your license to access the Content ends and you must discontinue use of the Content, except where we expressly permit continued use in writing.

5.4 You may not copy, distribute, resell, sublicense, publicly perform, or otherwise share the Content outside of instructional use at your licensed school location without our prior written consent.

5.5 Within your licensed school location, you and your instructors may teach and communicate the Content, orally and through permitted materials, to your own enrolled students as part of regular instruction. You may not: upload or post the Content (including PDFs, scripts, or instructor guides) to any publicly accessible platform; provide the Content to another school, business, or location, even if under common ownership with your school, unless that location has its own active membership; forward or share Content files with instructors outside your licensed location; or use the Content to build a competing or derivative curriculum, course, or certification program.

6. Instructor Responsibility; Student Safety; Scope of Use

6.1 You, and your school, are solely responsible for deciding whether, when, and how to incorporate Content into your classes, and for determining whether a given exercise is appropriate for your students' ages, abilities, and circumstances.

6.2 You remain solely responsible for student supervision, safety, classroom management, any needed accommodations, and compliance with all laws and regulations applicable to your school, including obtaining any parental or guardian permissions your school requires. We do not supervise instructors or students and are not present in your classroom.

6.3 This license extends to instructors employed or engaged by your licensed school location. You are responsible for ensuring that any instructor, assistant, or student who leads or facilitates a Content-based exercise at your school does so consistently with these Terms and the Instructor Standards & Safety Guide referenced in Section 6.6. We are not liable for the acts or omissions of any instructor, assistant, or student at your school, regardless of who leads a given exercise.

6.4 Purchasing or maintaining a membership does not mean we have evaluated or approved your, or your instructors', competence, licensing, martial arts qualifications, facility, or safety procedures.

6.5 The Content is educational and is not psychotherapy, psychological treatment, medical treatment, diagnosis, counseling, or crisis intervention, and nothing in the Content authorizes you or any instructor to practice outside your professional scope or qualifications. You must not represent any Content-based exercise as psychological treatment, medical care, diagnosis, trauma treatment, or therapy.

6.6 Your license to use the Content is conditioned on your, and your school's, compliance with the Mindfulness on the Mats Instructor Standards & Safety Guide, as updated from time to time. Among other things, that guide requires stopping or modifying an exercise if a student shows distress, discomfort, pain, dizziness, breathing difficulty, or other adverse reaction, and prohibits pressuring any student to participate in a mindfulness exercise.

7. One-Time Purchases (Master Class Protocols)

7.1 Certain specialty materials ("Protocols") may be offered for purchase separately from your membership tier, on a one-time-fee basis.

7.2 A one-time purchase of a Protocol grants you a limited, non-exclusive, non-transferable, revocable license to access that specific Protocol for as long as we continue to offer the Service, subject to Section 5. A one-time purchase does not guarantee indefinite or perpetual access and does not transfer ownership of the Content to you.

7.3 Protocol purchases are governed by the same Refund Policy set out in Section 8.

8. Refund Policy

8.1 All fees paid for membership and one-time Protocol purchases are non-refundable, regardless of your decision to discontinue or cancel before the end of a billing period, and regardless of how much of the Content you have accessed.

8.2 Because the Content is digital and, once made available to you, cannot practically be "returned," we do not offer refunds for unused or partially used access, nor prorated refunds for partial billing periods.

8.3 Nothing in this Section limits any non-waivable refund or cancellation right you may have under applicable law.

9. Cancellation

9.1 You may cancel your membership at any time by emailing hello@mindfulnessonthemats.com.

9.2 Cancellation takes effect at the end of your current billing period. You retain access through the end of the period you have already paid for; no further charges will be made and access ends at the close of that period unless renewed.

9.3 See Section 8 for our refund policy, which applies to cancellations as well.

10. Acceptable Use

We care about the security of our members and take reasonable measures to protect your account and related information; however, we cannot guarantee that unauthorized third parties will never defeat those measures. Please notify us immediately at hello@mindfulnessonthemats.com if you suspect any unauthorized use of your account.

You agree not to:

11. Certification and MOTM Certified Status

11.1 We may offer a "MOTM Certified School" or similar certification or recognition program. Purchasing a membership does not automatically confer any certification, credential, or endorsement.

11.2 Certification, if offered, must be separately earned by meeting standards that we establish and may change from time to time. Certification does not constitute a professional license and does not mean we have evaluated or endorsed every activity of your school.

11.3 We may revoke or decline to renew certification at our discretion, including for a violation of these Terms or the Instructor Standards & Safety Guide. Inclusion in any certified-school directory is at our discretion and is not guaranteed by membership or certification.

11.4 Any MOTM certification marks, logos, or patches may be used only while your certification remains valid, and must be removed from use upon expiration, revocation, or termination of your membership.

12. Modifications to the Service and These Terms

12.1 We may modify, update, or discontinue any part of the Service, including specific Content, membership tiers, or pricing, at any time.

12.2 We may update these Terms from time to time. If we make material changes, we will provide notice (such as by email or a notice on our website) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12.3 We may also modify, suspend, or discontinue the Service (or any part of it), temporarily or permanently, with or without notice, and will not be liable to you or any third party for doing so. We have no obligation to retain your account data or any associated content beyond what applicable law requires.

13. Termination by Company

13.1 We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have: violated these Terms or the Instructor Standards & Safety Guide; engaged in conduct that threatens student safety; misused any MOTM trademark, certification, or "MOTM Certified" designation; shared, distributed, or pirated the Content outside the scope of your license; engaged in fraudulent or abusive conduct, including payment disputes or chargebacks; or otherwise materially harmed MOTM or its reputation; or if required by law.

13.2 Termination for a violation described in Section 13.1 is effective immediately and does not entitle you to continued access through the remainder of any billing period. This differs from an ordinary cancellation under Section 9, where you retain access through the period you have already paid for.

14. Disclaimer of Warranties

The Service and Content are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Content will be uninterrupted, error-free, or suitable for any particular instructional outcome.

The Service may from time to time be developed or presented in collaboration with third-party partners, such as guest instructors, academic institutions, or organizations ("Content Partners"). Your participation in the Service: (a) does not establish any formal relationship between you and any Content Partner; (b) does not constitute enrollment, registration, or admission into any academic institution, training program, or other organization; and (c) does not entitle you to access or use the resources, credentials, facilities, or services of any such institution or organization beyond the specific Content offered through the Service.

We are not liable for any content or materials provided by third parties, including any errors, omissions, or loss or damage incurred as a result of using such content. We do not pre-screen Content, but we may, in our sole discretion, refuse or remove any content that violates these Terms or that we consider objectionable. You are responsible for evaluating, and bear all risk associated with, your use of any content, including reliance on its accuracy, completeness, or usefulness.

The Service is an educational curriculum for martial arts instruction and is not psychotherapy, psychological treatment, medical treatment, diagnosis, counseling, or crisis intervention, and is not a substitute for care from a qualified health care or mental health professional. Nothing in the Content authorizes any instructor to practice outside their professional scope or qualifications. You should consult a qualified professional before beginning any physical exercise or wellness practice referenced in the Content. You acknowledge and accept the inherent risks of participating in physical exercises, and agree that we will not be liable for any injury, loss, or damage arising from your, your instructors', or your students' access to or practice of any Content in the Service.

15. Limitation of Liability; Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless the Company, its affiliates, and their respective officers, employees, directors, and agents from any losses, damages, expenses (including reasonable attorneys' fees), claims, and liabilities arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of another person.

If you are a California resident, you waive California Civil Code Section 1542, which states: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor." If you are a resident of another jurisdiction, you waive any comparable statute or legal doctrine.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, ARISING FROM: (I) YOUR USE OF OR INABILITY TO USE THE SERVICE; (II) ANY GOODS, DATA, INFORMATION, OR SERVICES OBTAINED THROUGH THE SERVICE; (III) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; OR (IV) ANY OTHER MATTER RELATING TO THE SERVICE. IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID US IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages, so some of the limitations above may not apply to you. If you are dissatisfied with the Service or these Terms, your sole and exclusive remedy is to discontinue use of the Service.

We respect the intellectual property of others. If you believe in good faith that content on the Service infringes your copyright, please send the following to our copyright agent at hello@mindfulnessonthemats.com: (1) identification of the copyrighted work claimed to be infringed; (2) identification of the material you claim is infringing and its location on the Service; (3) your name, address, phone number, and email address; (4) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; (5) a statement, made under penalty of perjury, that the information is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and (6) your physical or electronic signature.

16. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles.

The Service and any related software are subject to United States export control laws. You may not download, export, or re-export the Service or related software in violation of those laws. You agree to comply with all applicable local laws regarding your use of the Service, including rules concerning online conduct and acceptable content.

17. Miscellaneous

17.1 Entire Agreement. These Terms, together with any order confirmation you receive, constitute the entire agreement between you and us regarding the Service.

17.2 Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

17.3 No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

17.4 Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
